Fixed Term Contracts – A New Twist You Need To Know!

The unfair dismissal claim

Employees:  Are you employed on a fixed contract basis?  If so, what are your rights when your contract expires?  In a nutshell, you will have a case against your employer for unfair dismissal if: –

  1. You have “a reasonable expectation” that the fixed term contract will be renewed on the same or similar terms; and
  2. Your employer fails, without a “fair reason”, to renew your contract on the same or better terms, or fails to renew it at all.

Employers:  Tread carefully here, and take advice in doubt!  Routine renewal of a fixed term contract without explanation and without justification will virtually guarantee an unfair dismissal claim in the end. Continue reading

Werknemer: Is jy in gevolge ‘n vastetermynkontrak aangestel? Wat gebeur aan die einde van hierdie termyn? Watter regte het jy as werknemer wanneer die kontrakstermyn tot ‘n einde kom?

Dit kan wees dat jy ‘n saak kan uitmaak vir onbillike ontslag, indien:-

  1. Jy op redelike gronde die verwagting koester dat die vastetermynkontrak op dieselfde of op ‘n soortgelyke basis hernu sal word.
  2. Jou werkgewer, sonder redelike gronde, versuim om jou dienskontrak op dieselfde voorwaardes of selfs beter voorwaardes te hernu.

Werkgewers: Wees hier versigtig en verkry advies indien daar enige onsekerheid bestaan. As jy vastetermynkontrakte as ‘n reël hernu en jy hou skielik op om dit te doen, sonder geldige redes en arbeidsprosedures, gaan jou werknemer stappe kan neem vir onbillike ontslag. Continue reading

The Brave New World Of Business Rescue – Which Companies Qualify?

What do you do if your company is in “financial distress”?  Help is at hand – the new business rescue procedure is aimed at helping such companies to return to commercial viability, or – where full or partial rescue is impossible – to at least secure a better return for creditors and other stakeholders than would result from a liquidation. For this purpose the company is given temporary protection from creditors whilst a business rescue practitioner takes over control from the directors and – where feasible – formulates a business rescue plan.

Die nuwe Maatskappywet maak voorsiening vir ondernemingsreddingsprosedures om ‘n maatskappy in staat te stel om weer kommersieel lewensvatbaar te word. Waar volle of gedeeltelike herstel nie haalbaar is nie, kan die ondernemingsreddingsprosedures steeds gebruik word. Hiervoor sal mens moet kan aantoon dat die reddingsprosedure steeds vir die skuldeisers en ander belanghebbendes ‘n beter opbrengs gaan lewer as wat met formele likwidasie die geval sal wees.

Met hierdie prosedure verkry ‘n maatskappy tydelike beskerming teen sy skuldeisers. ‘n Ondernemingspraktisyn (“praktisyn”) neem die beheer oor by die direksie. Die praktisyn moet dan ‘n voorgeskrewe reddingsplan voorberei. Continue reading

Tax Fraud: SARS Crack Down (Again)

The High Court has once again given notice that it will show no mercy to tax cheats and other “white-collar” criminals.

The crime

An accountant had been convicted by a Regional Court of 20 counts of fraud against SARS, involving registration of companies with false information and the generation and submission of false invoices and VAT returns.  As a result SARS lost R425,843-33 in unwarranted VAT refunds before detecting the crime.  Continue reading

Die misdaad 

‘n Streekshof het ‘n rekenmeester skuldig bevind aan 20 klagtes van bedrog teenoor SARS. Die rekenmeester het verskillende maatskappye met vals inligting geskep en geregistreer; daarna het hy vals fakture en BTW opgawes gegenereer en by SARS ingedien. SARS het onverskuldigde BTW terugbetalings van R425 843-33 uitbetaal, voordat hulle hierdie belastingbedrog ontdek het. Continue reading
